VENDOR NON-REFUNDABLE AGREEMENT

This VENDOR NON-REFUNDABLE Agreement is entered into on JUNE 15, 2018 (“Effective Date”) by and between LV Barber Expo, LLC, a Nevada limited liability HOST, with its principle place of business at 11322 Coulter Canyon, Las Vegas, NV 89141 (“HOST”) and __________(Vendor name), a(n) ________(STATE), ______________(BUSINESS ENTITY), with a principle place of business at ____________(LOCATION) (“VENDOR”). Individually, each Host and VENDOR may be referred to as a “Party”, and collectively, “Parties.”

BACKGROUND

Event Description. HOST is the organizer of the LV BARBER EXPO (“Event”), which is a two (2) day educational, entertainment, networking forum directed towards barbers and beauty industry participants in the Pacific and Desert Southwest Region of the United States (attending barbers and beauty industry participants are referred to as “Registrants”).
Event Location. The Event takes place at the South Point Hotel, Casino located at 9777 S Las Vegas Blvd, Las Vegas, NV (“Venue”).
Event Date. The Event opens to registrants on Sept 30, 2018 at _____ a.m. and closes on ________ at ______a/p.m..
VENDOR desires to secure space from Host during the Event to sell its goods and services to the Registrants attending the Event; HOST desires to sell such space to VENDOR for this intended purpose.

Therefore, the Parties agree to the following terms and conditions:

1. SPACE FEE. VENDOR agrees to compensate HOST $____________to secure space at Event (“Space Fee”).

Vendor must pay the full Space Fee upon signing of this Agreement.

VENDOR DUTIES & OBLIGATIONS

1. 1. VENDOR will access the Venue and assigned space as follows:
    1. Large VENDOR Booth & Sponsors – Saturday 9/29/18 between the hours of 12:00pm to 6:00pm
    2. All other VENDORS– Sunday 9/30/18 between the hours of 8am to 12pm
    3. Vans ok to load on rear loading dock- box trucks larger than 14 Feet must pay union fees. All items shipped to venue must be clearly marked as follows: LV Barber Expo /Attn: Devin Goodwin
  2. VENDOR may not, under any circumstance, share space with other brands or without prior written consent from the HOST.
  3. VENDOR station shall be clean and orderly; and shall follow all applicable laws and regulations of Clark County and State of Nevada. Sales and Use Tax compliance can be found by visiting WWW.NV.GOV
  4. VENDOR may exhibit goods for sale only while VENDOR/Staff is within the area of the assigned space.
  5. VENDOR is not permitted to set up and use sound amplification devices.
  6. VENDOR shall have 1 (ONE) Hour following the conclusion of Event (aprox. 10:00 PM) to dismantle and remove all items from the Venue. VENDOR shall leave the assigned space free from trash/debris and in the exact condition prior to setup.
  7. VENDOR agrees to Hold Harmless the HOST from any and all damages/claims in connection to the VENDOR and its Staffs participation in Event.
  8. VENDOR WILL BE ISSUED 3 VENDOR PASSES – ANY ADDITIONAL REGISTRANT MUST PAY GENERAL ADMISSION.
  9. VENDOR acknowledges that this is a NON-REFUNDABLE AGREEMENT and no deposits/payments shall be reimbursed for any reason of cancellation by VENDOR. However, if the Event is cancelled by HOST, then VENDOR will receive reimbursement of its deposit/payment.
2. MISCELLANEOUS.
  1. Successors and Assigns. VENDOR shall have no right to assign its rights under this Agreement, whether expressly or by operation of law, without the written consent of HOST. This Agreement and VENDOR‘s obligations hereunder shall be binding on Representatives, permitted assigns, and successors of VENDOR and shall inure to the benefit of Representatives, assigns and successors of HOST.
  2. Relationships. Nothing contained in this Agreement shall be deemed to constitute either party a partner, joint venturer or employee of the other party for any purpose.
  3. Severability. If a court finds any provision of this Agreement invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to affect the intent of the parties.
  4. Waiver. The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights.

Modifications or Amendments. This Agreement may not be changed, modified, or amended except in a writing signed by both parties.

1. Jurisdiction; Governing Law; Venue. The parties agree to submit to the personal jurisdiction of the State of Nevada. The laws of the State of Nevada will govern all substantive and procedural issues relating to and arising out of this Agreement; venue, regardless of principles of forum non conveniens, will be in the Eighth Judicial District Court, Business Court, in Clark County Nevada.
2. Entire Agreement. This Agreement constitutes the sole understanding of the parties about this subject matter. The parties have had an opportunity to read this agreement, to have their respective counsel review this counsel, and have approved the terms and conditions of this agreement. Accordingly, neither party is to be deemed the drafter of this agreement should a dispute arise.

IN WITNESS WHEREOF, the parties have respectively caused this Agreement to be executed by their duly authorized representatives is effective as of the Effective Date first referenced above.
